Standard conditions of sale
1 Definitions
A) "Buyer" means the person who buys or agrees to buy the Products from the Seller.
B) "Conditions" means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the Seller.
C) "Delivery date" means the date specified by the Seller when the Products are to be delivered.
D) "Products" means those goods specified offered by the Online Store as part of their activities in accordance with this Terms and Conditions.
E) "Price" means the price for the Products including packing and VAT, not including the cost of delivery of the Goods to the Buyer. Commodity prices are in GB Pounds Sterling. Seller reserves the right to change prices.
F) "Delivery Cost" - Costs incurred for the purpose of delivering goods to the Buyer added to the total cost of Order made by him.
G) "Seller" - means Furnipol Limited based in Flat 3, 2 Castlemain Avenue, Bournemouth, BH6 5EQ, VAT: 167125411, subject to legislative law in United Kingdom.
H) "Consumer" shall bear the meaning ascribed in section 12 Unfair Contract Terms Act 1977.
I) "Online Store" - Form of Sellers activity involving selling goods via Internet at www.furnipol.co.uk. Activity is carried out within the European Union.
2 Headings
1. The headings of the Clauses in these conditions are intended for reference only and will not affect the construction of these conditions.
2. Representations - No statement, description, warranty condition or recommendation contained in any catalogue, price list or advertisement or communication or made verbally by any of the Agents or Employees of the Seller shall be construed to enlarge, vary or override in any way thereof any of these conditions.
3 Registration and order
1. Orders can be placed via the online shop around the clock or through the phone at the times and numbers given in the "Contact" section, available at: furnipol.co.uk
2. Placing an Order and purchasing goods takes place at completing by the Buyer, in a proper manner, the registration form (in particular, where the Buyer provides the requested data in the form of a personal e-mail address and password set.) and Buyer's assent to the conclusion of the sale and reading the rules of an online store. All data available to the Seller by the Buyer shall be confidential, legally protected by the Data Protection Act 1998 and will not be shared with third parties.
3. Registration is performed once, all further Orders are based on the log of the Buyers data in the store. The Buyer can access his account by entering the user name and password set. User name and password are confidential.
4. The Buyer places an Order through the store’s website. After placing an order the Buyer will receive an automated e-mail response confirming we have received the Buyer’s order. All orders are confirmed through a phone call within 48 hours. Buyer can also place an order on the phone or by e-mail at office@furnipol.co.uk. If, for any reason, the Seller cannot confirm the order within the given time frame, the order will be cancelled.
5. The seller has the right to refuse orders: ◦ if the order form is completed incorrectly ◦ if he cannot confirm the order within the time frame given ◦ if the Goods ordered are not available
6. The Seller agrees to complete the Order in accordance with the contents of the order specifications, as confirmed by the Buyer.
7. A Bill will be provided with each purchase along with the ordered goods.
8. In case the ordered Goods are not available (shortage of stock, discontinued by the manufacturer etc.), the Seller shall at once inform the Buyer and inform him of their right to cancel the order.
4 Conditions applicable
1. The Seller shall sell and the Buyer shall purchase the products in accordance with any written quotation of the Seller which is accepted by the Buyer, or any written or verbal order of the Buyer which is accepted by the Seller. That includes but is not limited to orders placed using the Seller’s electronic online ordering service, subject in any case to these conditions, which shall govern the contract to the exclusion of any other terms and conditions subject to which any such quotation is accepted or purported to be accepted, or any such order is made or is purported to be made, by the Buyer.
2. Any typographical or clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller.
3. If any provision of these conditions is adjudged invalid or unenforceable in whole or in part the validity of the other provisions of these conditions and the remainder of those provisions in question shall not be affected.
4. If the Seller does not have sufficient stock to be able to deliver the goods ordered by the Buyer then any sum paid by the Buyer will be refunded or recredited to the Buyer’s account. The Seller will notify the Buyer at the address given by the Buyer in their order form. The refund will be made as soon as possible and, in any event, within 30 days of the order and the Seller will not be obliged to offer any compensation for disappointment suffered.
5. The Seller reserves the right to refuse orders that contain dubious or incomplete data. The Buyer will be immediately informed of the existence of such a situation.
6. The Seller reserves the right to cancel the contract in the event of unforeseen changes in the parameters of the ordered models of furniture, or in case of changes specified by the manufacturer.
5 The price and payment
1. Save as provided otherwise herein the Price shall be that as stipulated in the Seller’s published price list current at the date of order of the Products.
2. Any event of any increase in the cost to the Seller of raw materials, labour, overheads, or any increase in taxes or duties, or any variation in exchange rate the Seller may increase the Price payable under the contract upon written notice.
3. If notice of price increase is given by the seller, the buyer shall have the right to cancel the order and receive back any sums they have paid. Notice of cancellation must be received in writing by the seller within seven days of delivery of the notice of price increase to the buyer.
4. Payment of the Price shall be due at the date of the delivery. Time for payment shall be of the essence. If the Buyer does not pay the Price on notification of shipment the Seller may bring an action for the Price even though property in the Products has not been passed to the Buyer.
5. If the Buyer fails to make payment as required the Seller may suspend delivery of the Products or any further Products ordered until payment is made in full.
6. Available payment methods are:
1. Pre-payment by bank transfer to an account
2. payment by debit / credit card through PayPal
3. Payment in cash on delivery
7. Online Store is not responsible for the problems in payment resulting from delays caused by the third party (bank, PayPal).
8. The Delivery Cost is dependent on the distance between the warehouse the transport is deployed from (BH21 6SY) and the delivery address as specified by the Buyer. The Buyer should check the delivery cost before placing an order.
6 The products
1. The quantity and description of the Products shall be set out in the Seller’s quotation.
2. The Seller may make any changes in the specification of the Products which do not materially affect their quality or performance required to conform with any applicable statutory requirements where the Products are supplied to the Seller’s specification.
3. Product images are for illustrative purposes only. Although the Seller has made every effort to display colours accurately, he cannot guarantee that the Buyer’s computer will display the colours accurately to reflect the colour of the products. The products delivered may vary slightly from those images. If there is any doubt as to the colour or texture of any given fabric in our offer, free fabric samples may be requested, any such requests have to be sent vie e-mail to office@furnipol.co.uk.
4. The Seller has taken care to describe and show the items as accurately as possible. Despite this, slight variations in items may occur. The Seller provides the Buyer with product information on their website. If there is anything the Buyer does not understand, or wishes to obtain further information on, they need to contact the customer services team.
5. Before placing the order the Buyer has to make sure the furniture will fit inside their home. This is especially important for large sofas. There is a margin of error. Actual dimensions of upholstered furniture may differ from those provided in the item description by -/+ 5 cm.
6. No changes to the items dimensions or design can be made, the items are only sold as presented in the item description on the website.
7. Any changes to the order (colour, corner sofa side etc.) have to be submitted within 3 working days of placing the order. After that time no such changes can be made.
7 Delivery
1. Delivery cost depends on distance between the destination (delivery address provided by the Buyer) and the Seller’s warehouse. It can be easily checked by using Google Maps: Please check the distance between your postal code and our BH21 6SY postcode, then simply select the appropriate position from the price list. Price of delivery may be different than stated below for orders of furniture with large dimensions.

3. We ask of all our Buyers that the dimensions of ordered goods be compared with the dimensions of pathways, so that they may fit through passageways (doors, corridors, bends etc.). We will not be held responsible if the ordered Goods do not fit. The buyer has to make certain and confirm the sizes as the dimensions cannot be the basis of a complaint or refund in such a case.
4. Generally, where an order contains more than one item, all items will be delivered at the same time, once all items are available. All lead time quoted are approximate and dependent on stock and location. In case of orders with many items the longest particular delivery time will apply to the whole of the order.
5. Delivery can only be made to a mainland Great Britain address. We do not deliver to Islands and Isles.
6. Delivery will only be made to the address as stated in the Buyers original order and they will not be left without a signature.
7. The items in the Seller’s offer are manufactured to order and made in Poland. Delivery time reflects the time it takes to deliver it to the Buyer’s home. Each item has the maximum delivery time given in the item description.
8. Once the Buyer agrees to accept the delivery, and confirm the date, then if for any reason is not present at the delivery address, the Seller reserves the right to apply a re-delivery charge equal to the original delivery cost.
9. We reserve the right to cancel the order when we are unable to contact buyer to discuss the delivery.
10.We can not guarantee exact delivery hour but our delivery team may call up to 30 minutes prior to the delivery on the date arranged. If more notice is required, please notify the customer service team as soon as possible.
11.A minimum of 2 day notice, is given prior to delivery.
12. The Seller reserves the right not to deliver an order if he believes the address is not secure, for example to a communal postal address or PO box. If this affects an order placed, the Seller will notify the Buyer as soon as possible.
13.It is the buyer's responsibility to ensure easy access for the delivery i.e. leave appropriate instructions if the property is gated and/or has a concierge.
14. The delivery is to the GROUND FLOOR ONLY (specifically to the front doors of the building), goods are not carried inside or upstairs, if the Buyer would like the drivers to help, they will have to arrange it with the drivers directly themselves. It is also only possible if there is easy access, and a suitable and accessible lift, that items will fit inside it. Any such help is a question of the drivers good will and Furnipol cannot in any way arrange such help on the Buyer’s behalf.
15. The Buyer is responsible for carrying the goods inside their home and into the room of their choice and Furnipol cannot accept any responsibility for any damages caused by the buyer when moving the items.
16. The delivery team is unable to move or take away any of buyer’s old furniture.
17. Please note that on rare occasions the delivery service may be subject to change. If this occurs, the customer service team will be in contact with the Buyer prior to delivery so that they can be informed of and agree to any changes.
18. Due to a high amount of traffic and orders in the season before Christmas and Easter the delivery time may be prolonged by 5-10 working days due to circumstances beyond our reasonable control.
8 Warranties and liability
1. All goods supplied by the Seller come with a manufacturer’s warranty of 12 months unless sold as damaged or ex display.
2. The Seller shall provide the Buyer with such information as is required to claim under the manufacturer’s warranties. In the event of a claim, the Buyer shall in the first instance contact the Seller’s customer service department.
3. Except where the Buyer acts as a Consumer all other warranties, conditions and terms relating to fitness for purpose, satisfactory quality or conditions of the products whether implied by statute or common law or otherwise are excluded to the fullest extent of the law.
4. Insofar as is permitted by law, The Seller’s only liability to the Buyer under these terms and conditions will be, at their sole discretion, to make good any shortage or non-delivery, to replace or repair any goods which are received by the Buyer in a damaged or defective state or to refund to the Buyer any sums actually paid by them for the goods in question.
9 Terms of Warranty
1. The Guarantor assures the Buyer of a good quality and accurate functioning of the furniture within the period of 12 months of the delivery date.
2. Warranty does not cover damages caused by inappropriate or careless transport, carriage or assembly by the Buyer, nor the ones resulting from acts of God or damage as a result of which the price was reduced.
3. On receiving a product The Buyer shall examine the quality and completeness of the order as well as examine the operation of the principal mechanisms and basic components.
4. The Buyer has an obligation to report any visible defects, mechanical damage and the quantity shortages of components and fittings for furniture otherwise, Warranty Terms do not apply.
5. Any adjustments or modifications of the product performed by the Buyer will result in loss of warranty protection.
6. The Guarantor accepts no liability if the product does not comply with the agreement, if the Buyer knew about this incompatibility or, assessing reasonably, had been aware of it. That is to say if the Buyer inspected the goods (on delivery) and has discovered a fault for which he received a discount or compensation, the Buyer is then not entitled to pursue any further claims regarding the damage.
7. Any incompatibilities of the self-assembly products shall be reported to the Seller by the Buyer within a month of its detection.
8. Any non-compliance or fault of the product arising within the warranty period should be reported at once to the Seller. The Seller will address the claim within 14 days of the notification of non-compliance of the product with the contract.
9. Warranty repairs of a product that does not comply with the agreement will be performed within 35 working days from the date of collection.
10.The guarantor has no responsibility to provide a temporary replacement for the furniture for the period when the faulty furniture is repaired.
11.Warranty period will be extended by the time that has elapsed since the complaint to the settlement if during this period the non-compliance reported prevents the use of the product.
12.Where the product does not comply with the agreement, the Guarantor assures the Buyer that he will bring the product into conformity with the contract by performing a repair or a replacement of parts. If the nature of the defect does not require its removal in factory conditions, the repair is carried out at the Buyer's address.
13.If the defect is not removable or its removal would or might result in loss of the quality of furniture, the settlement of the complaint may be made with the consent of the Buyer by lowering the price of the furniture in question.
14.If the defect is not removable and the Buyer does not agree for the price reduction, the settlement of the complaint may be made by replacing the product with a new one that is free from defects or by issuing a refund to the Buyer, provided the Buyer returns the product.
15.If during the replacement of a faulty product or during the agreement cancellation, (apart from the faults that resulted in the exchange) it will be noted that the quality of the product decreased due to its use beyond the standard level or due to any modification performed by the Buyer, or if the product is returned incomplete (shortage of inexhaustible components or equipment that are indispensable in any further sale), the Buyer will be charged for the replacement or an equivalent of the missing pieces.
16.The delay in the complaint settlement does not occur when a representative of the Guarantor reported to the Buyer within the agreed period with the aim of settling the complaint, but could not do so due to reasons attributable to the Buyer and thus did it on a different day, no later than within the next 30 days. If the Buyer made it impossible for the repairs to be carried out, it is believed that he resigned powers.
10 Manufacturer's warranty does not cover
1. Damage resulting from improper or careless use, or as a result of the transport, handling and installation of furniture by the Buyer, as well as any after-sales.
2. Damage resulting from repairs or alterations made to the order by the buyer himself.
11 Terms of use of the furniture
1. Furniture should be used in accordance with its design and purpose
2. The assembly of furniture sold in flat-packs is the Buyers responsibility. It is to be performed in accordance to the provided assembly manual.
12 Acceptance of the products
1. Other than where the Buyer acts as a Consumer the Buyer shall be deemed to have accepted the Products 14 days after delivery. 2. The Buyer may, on delivery, examine the goods as they would do when purchasing in a shop. 3. After acceptance, the Buyer shall not be entitled to reject Products, which are not in accordance with the contract, if earlier they have been offered an alternative solution (i.e. a discount, compensation, repair or replacement).
13 Title and risk
1. Risk of damage to or loss of the Products shall pass to the Buyer upon collection.
2. Notwithstanding any other provision herein title in the Products shall not pass to the Buyer until the Seller has received in cash or clear funds payment in full.
3. The Buyer shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the Products which remain the property of the Seller, but if the Buyer does so all moneys owing to the Seller shall (without prejudice to any other right or remedy on the Seller) immediately become due and payable.
14 Returns and Cancellations
14.A) Cancellations pre-delivery
The buyer may cancel their order before delivery with no cost by informing the Seller in writing, by sending an e-mail to the address office@furnipol.co.uk or by calling our Customer Service. Once ordered Goods have arrived the Buyer is subject to accepting Goods.
14.B) Returns after delivery
1. The Buyer can, within 14 days of receiving the order, change their mind and inform the Seller of his intention to return the order. In such case the Buyer should arrange to return the goods himself to the Supplier at his own cost.
2. In case of return The Buyer has to ensure that any item is available for collection within 14 days.
3. The Buyer has to ensure any item they wish to return is in the condition they have received it in. The Seller will not be able to refund the Buyer in full if there are any signs of damage or misuse. Should the Buyer wish to return the goods it is their responsibility to take good care of the furniture. The Buyer is the owner of the furniture once it has been delivered and is liable for any loss or damage. Failure to take reasonable care may result in a claim against the Buyer. To minimise the risk of any such claim The Seller asks that the Buyer returns the goods in appropriate packaging such as to prevent damage in transit. The Buyer has a statutory duty to take care of the goods. In cases of cancelled orders, where the goods are returned damaged or distressed, worn, scratched, modified or missing any of the supplied parts or equipment the Seller reserves the right to make appropriate reductions to the amount of money returned to the Buyer, up to the full cost of the product, depending on the state the product is returned in.
4. Once The Buyer has confirmation that the Seller received their cancellation and the item is back in the Seller’s warehouse and has been inspected for any damages and missing pieces, the Buyer will receive their refund via the original payment method used, less the cost of the collection of the item.
5. In case where applicable, the Buyer authorises the Seller to recover the Collection Service Charge by: ◦ debiting any credit or debit card of the Seller, immediately following any refund made pursuant to the appropriate refund terms. ◦ setting-off the Service Charge against any refund made
6. The Buyer acknowledges that the Seller may apply a Charge for any damages, that will compensate the Seller for any loss suffered as a result of the Customers failure to take reasonable care of the Products.
7. Refunds made to a credit or debit card or via PayPal may not show in the Buyer’s account straight away due to the clearing time required by banks to process the refund. This can take up to several working days, but varies depending on the bank. Please contact the card issuer or bank directly with any queries.
14.C) Exceptions from the right to withdrawal
1. With compliance to The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (Part3, Regulation 28, Schedule 1, subsection B) the exceptions to the buyers right to withdraw from a contract (if they change their mind) include:
• Due to hygienic reasons: Mattresses, sofa beds or unfolding chairs unless they are unopened, unused and packed or have been used without a mattress protector. Any mattresses or sofa beds that have been unsealed will be deemed as having been used, therefore they cannot be returned for any reason other than being not of satisfactory quality or not as described.
• Bespoke items, which are those that are custom made or personalised in any way. This means they are bespoke to the individual and therefore cannot be resold as the Goods are specified or personalised by the buyer in his order, to fit for the buyer's clearly specified needs. Sofas, beds, table and chair sets made to specific order, where the buyer will choose a colour combination, fabric, side of the corner sofa or size that are not the standard variant of the product. Bespoke, made to order items are excluded from standard returns policy. Personalised or bespoke products cannot be returned for any reason other than being not of satisfactory quality or not as described.
• The Seller does not accept returns of items sold in flat-packs, as selfassembly, which have been assembled or partially assembled for any reason other than being not of satisfactory quality or not as described. If the Buyer notices that the product is damaged before or during assembly, they should not attempt further assembly, stop and contact the Seller so that replacement parts can be provided. Do not try to assemble an item if it is damaged. If the Buyer is responsible for any further physical damage to the item they will be charged.
• Consumers returning self-assembly goods bought at a distance or offpremises will be liable for any diminished value of returned goods that results from the consumer handling the goods beyond what is necessary to check them. The above condition is due to the fact the Seller will be unable to specify if the item was damaged by the Buyer or, if it was delivered in such condition, if the Buyer assembles it before informing the Seller of the problem.
15 Complaints
1. To make a complaint please send us an e-mail with full description of the problem and photographs depicting it, to the address: reklamacja@furnipol.co.uk. For any enquiries or if you need our help you can also call our helpline: 07908130286. The Seller expects that all and any complaints will be raised at the earliest opportunity.
2. The Seller aims to replace or repair damaged item(s) within 35 working days. If replacement of smaller parts is required, the goods will be posted in the quickest way possible.
3. The Seller always tries to provide replacement parts or items as quick as possible, however due to our manufacturers being based abroad the time may vary and the Seller cannot take responsibility for delays. He will always keep the Buyer informed if that is the case.
4. There is no need to decline the delivery of the package or to send back the whole unit if only a small part is damaged. The Seller will simply replace the broken parts of the furniture.
5. On delivery, while the driver is still present, in case of bigger items, it is recommended to give the product(s) a thorough all round check as any damage needs to be reported immediately. Once your signature is recorded, any damage that would have been visible on such an inspection, will be assumed to be due to handling, moving or shifting the item and not one that occurred in transit. It is then the Buyers responsibility, therefore the Seller shall not be liable for it. However, if you should, after delivery and unpacking, discover any further fault, your rights will be in no way restricted.
6. It is also to the Buyer’s benefit, if you change your mind, to report things on delivery as it can be more expensive to return large items with the need for correct packaging etc. If the Buyer no longer has the original packaging, or it has been rendered unusable, it is their responsibility to obtain the relevant packaging material required for safe transport of the goods.
7. If the Buyer notifies the Seller of a problem, under this conditions, the Seller’s only obligation will be, at the Buyer’s discretion:
(a) to make good any shortage or non-delivery;
(b) to replace or repair any goods that are damaged or defective; or
(c) to refund the amount paid for the goods in question
8. Save as precluded by law, the Seller will not be liable to the Buyer for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem the Buyer does not notify his of under this condition and the Seller shall have no liability to pay any money to the Buyer by way of compensation other than to refund the amount paid by the Buyer for the goods in question as above. That is, in simpler terms, if a Buyer does not inform the Seller of a problem, the Seller cannot help them with it and cannot be held responsible for any additional costs or problems arising from the Buyer’s decision to resolve any potential issues by themselves without informing and consulting the Seller.
16 Final provision
1. All articles, graphics and designs posted are the property of the Seller and their use without the express written consent of the Seller shall be considered a violation of copyright laws. All trademarks and copyrights and other elements contained on the page are owned by their creators.
2. Seller reserves the right to amend these terms and conditions without notice. The changes do not violate the rights of the Buyer under the Orders placed before implementing the change.
